Teacher / Creator General Terms

1. Purpose

These terms govern the registration, use and exploitation of LESSUNS by teachers, creators, contributors or any person authorised to publish guided educational services or offers on the platform. They define in particular the rules relating to the LESSUNS Pro subscription, the intermediation mandate for web sales, iOS purchases, payouts, guided online workshops, educational video materials, in-person workshops, rights, tax obligations, security and moderation.

LESSUNS is operated by VAO Agency, a SARL with share capital of 500 €, registered with the Paris Trade and Companies Register under number SIREN 921 521 811, whose registered office is located at 229 rue Saint-Honoré, 75001 Paris.

2. Definitions

Teacher

any person of legal age creating a teacher account in order to publish, manage or sell guided educational services, workshops, subscriptions or in-person services.

Student

any user who views, purchases, books, watches or interacts with the educational services, video materials, messages, feedback or workshops offered by a Teacher.

Guided online workshop

a guided educational service offered by a Teacher, comprising educational video material, automatic access to messaging with the Teacher and individualised feedback, excluding in-person workshops.

In-person workshop

a class, course, workshop or physical event offered by a Teacher on a specific date or period, with a location, capacity and access conditions; support is mainly provided in person.

Subscription to a Teacher

a subscription taken out by a Student with an identified Teacher, giving access to a continuous support relationship according to the offer: guided workshops, messaging, follow-up, personalised feedback and/or community spaces.

LESSUNS Pro

a SaaS subscription provided by VAO Agency to Teachers to access the publishing and sales tools.

Eligible net amount

the amount serving as the basis for calculating the Teacher's payout after deduction, depending on the channel, of taxes, Apple commissions, refunds, fees, adjustments, chargebacks and amounts not collected.

3. Conditions for registering as a Teacher

The Teacher must be of legal age and legally capable. A minor Student cannot become a Teacher.

The Teacher must provide accurate, complete and up-to-date information concerning their identity, country, billing address, status, activity and, where applicable, their VAT number or tax identifier.

VAO Agency may request any useful supporting document to prevent fraud, comply with compliance obligations or verify the Teacher's status.

4. LESSUNS Pro subscription

LESSUNS Pro is a subscription provided by VAO Agency to Teachers to enable them to access the features for creating, publishing, managing and marketing guided educational services, educational video materials or services.

The reference price is 29 € excluding tax per month. For Teachers located in France, this price corresponds to 34,80 € including all taxes per month, subject to the applicable French VAT rate.

Web subscriptions are managed via Stripe Billing. The applicable taxes are calculated according to the Teacher's country of residence or establishment, their billing address, their professional or non-professional status, their VAT number where applicable, and the applicable tax rules.

The subscription includes a 7-day free trial, unless a different offer is indicated at the time of subscription. At the end of the trial, the subscription becomes payable unless cancelled beforehand.

A Teacher who is a private individual or not subject to VAT may subscribe to LESSUNS Pro, subject to complying with the laws applicable to their activity. If their activity becomes regular, professional or generates significant income, it is their responsibility to consult a competent advisor and to make the necessary declarations or registrations.

In the event of expiry, cancellation, suspension or non-payment of LESSUNS Pro, the Teacher account may be retained but the publishing, listing and monetisation features may be suspended. Students who have already purchased a service or a workshop retain their access according to the applicable conditions, save for legitimate withdrawal of the material or offer.

5. Web sales: Teacher's status and intermediation mandate

For sales made on the web, the Teacher is the primary provider and the seller of the guided educational service offered to the Student. VAO Agency acts as a marketplace, intermediation platform, technical tool and agent of the Teacher under the conditions set out herein.

The Teacher mandates VAO Agency to present their offers, facilitate the conclusion of sales, have payments collected by Stripe Connect, generate receipts or invoices in the name and on behalf of the Teacher where applicable, apply authorised refunds and deduct the platform commission.

The Teacher freely sets their prices. VAO Agency sets neither a minimum nor a maximum price, but may request a change or suspend an offer in the event of an obvious error, fraud, non-compliance, tax difficulty or breach of the platform's rules.

On paid web sales of guided services, VAO Agency deducts a commission of 10 % of the web sale price actually collected from the Student, inclusive of all taxes. That 10 % is VAO Agency's only deduction on the sale: where French VAT is applicable it is already included within that 10 % and is not invoiced in addition to the Teacher, and the Stripe payment fees are borne by VAO Agency out of its own commission. Unless otherwise indicated, the Teacher therefore receives 90 % of that same web sale price collected. This rule may be adjusted in the event of a refund, cancellation, fraud, chargeback, taxes or adjustment.

Worked example, given for illustration: on a web sale of 100 € including all taxes paid by the Student, VAO Agency retains 10 € as its commission, including French VAT where applicable, and the Teacher receives 90 €. No additional amount is charged to the Teacher for VAT on that commission or for payment fees.

Guided online workshops are not designed as mere sales of standalone videos. The video material constitutes an educational medium for the Teacher's service; the main value of the offer rests on the method, the support, the exchange with the Teacher and the individualised feedback.

Unless a more favourable or different indication is displayed on the offer page, each guided online workshop automatically includes access to messaging with the Teacher and individualised feedback. The Student has a standard period of 30 days from purchase to request this feedback, unless a different period is indicated by the Teacher in the offer.

The response time or the terms for providing the feedback are indicated by the Teacher in their offer where relevant. Feedback may be provided by message, video, comment, live session, group session or any other announced format. If a Teacher does not respond under the announced conditions, VAO Agency may trigger notifications or reminders and analyse the situation on a case-by-case basis, without automatic refund.

Packs are groupings of guided workshops. Each workshop included in a pack retains its own support, messaging and feedback terms, unless otherwise clearly brought to the Student's attention.

Subscriptions to a Teacher correspond to a continuous relationship with an identified Teacher. They may give access to guided workshops, direct exchanges, personalised feedback, follow-up and community features according to the terms displayed, without constituting an anonymous library of on-demand content.

If VAO Agency later offers standalone digital content without genuine support, without messaging or without individualised feedback, these offers must be distinguished contractually and fiscally from guided services.

6. Stripe Connect and payment conditions

The Teacher must finalise and have their Stripe Connect account validated in order to publish and sell guided educational services, workshops or other paid offers. A free offer may be published without a Stripe Connect account where no payout is due.

VAO Agency does not store bank card numbers. Stripe may request KYC information and may delay, refuse or block payments according to its rules.

VAO Agency may suspend sales, payouts or the account in the event of fraud, dispute, contractual breach, incomplete information, tax risk, regulatory risk or a request from a payment provider.

7. iOS sales and Apple in-app purchases

For purchases made in the iOS application, the App Store's rules may require the use of Apple in-app purchases. In this case, Apple collects the Student's payment, applies its commissions, taxes, fees, refunds and adjustments, then pays a net amount to VAO Agency.

The iOS flow is distinct from the Stripe Connect web flow. For iOS sales, VAO Agency pays the Teacher 90 % of the eligible net amount actually received from the App Store for the offer concerned, after deduction of the applicable Apple commissions, taxes, refunds, fees and adjustments. The Teacher acknowledges that this amount may be lower than 90 % of the price displayed or paid by the Student.

iOS payouts are made monthly, with no minimum threshold, via Stripe Connect once the Teacher's account is validated. In the event of an Apple refund or adjustment after the payout, VAO Agency may charge the amount concerned against future payouts or request the return of amounts wrongly received.

8. In-person workshops

The Teacher who offers an in-person workshop acts as the organiser and provider of the event. Educational support is provided directly during the in-person workshop. Individualised online feedback is not automatically included for in-person workshops, unless otherwise stated on the offer.

The Teacher is responsible for the accuracy of the information displayed before purchase: date, schedule, address, capacity, required level, equipment, safety instructions, access conditions and any cancellation rules.

In-person workshops may be offered and booked on the LESSUNS website and in the iOS application. The booking channel determines the applicable payment, refund and adjustment rules: Stripe/Stripe Connect for the web, and Apple in-app purchases when the purchase is made in the iOS application.

The Teacher must have the necessary authorisations to organise the workshop at the indicated location, host the participants and, where applicable, use music, materials or the image of participants.

For leisure services provided on a specific date or period, the consumer's right of withdrawal may be excluded in accordance with the applicable rules. The Teacher accepts that VAO Agency displays specific information in the purchase journey.

In the event of cancellation by the Teacher or inability to perform the service on the scheduled date, the Student must be offered, as the case may be, a rescheduling, an equivalent solution or a refund. The precise rules displayed at the time of purchase prevail where they are compatible with the law.

Common LESSUNS Student cancellation rule: unless a contrary legal obligation, cancellation of the workshop by the Teacher, duly justified force majeure or a more favourable rule displayed by LESSUNS applies, the Student may request the cancellation and refund of an in-person workshop booking up to 14 calendar days before the workshop start date. After this 14-day period, or where the booking is made less than 14 days before the workshop date, the Student's absence, lateness or change of mind does not give rise to an automatic refund.

The Teacher remains responsible for the physical safety of participants in the context of their class, without prejudice to the obligations specific to the host venue and the applicable mandatory rules.

9. Billing, taxation and Teacher obligations

The Teacher remains solely responsible for their tax, social, professional and reporting obligations in their country of residence or establishment. VAO Agency does not provide tax, social or accounting advice to the Teacher.

For web sales of guided educational services, the intended scheme is that the Teacher sells the service to the Student and that VAO Agency generates the receipts or invoices in the name and on behalf of the Teacher where legally or operationally necessary. The documents provided to the Student must clearly identify the Teacher as the seller or primary provider where the channel allows.

VAO Agency's commission is inclusive of tax: where French VAT is applicable, it is included in the 10 % deducted and is not invoiced in addition to the Teacher. The applicable rate and treatment depend on the Teacher's country of establishment and tax status, as they result from the information the Teacher provides and from any verification that may be carried out. In the absence of a valid intra-Community VAT number provided and verified, VAO Agency applies by default, for a Teacher established in France or in another Member State of the European Union, a treatment with French VAT included in the commission; that treatment is not final and is corrected going forward as soon as the Teacher provides a valid intra-Community VAT number or evidences another status. Where the Teacher is a VAT-identified taxable person established in the European Union, the reverse charge mechanism applies. Where the Teacher is established outside the European Union, the commission is in principle outside the scope of French VAT. The VAT treatment of the service sold to the Student depends on the Teacher's status, the country concerned, the sales channel and the effective qualification of the offer. If an offer is qualified as standalone digital content, a distinct VAT treatment may be applied.

VAO Agency invoices its 10 % commission inclusive of tax to the Teacher separately, in particular on a periodic or summary basis. The Teacher must keep the documents necessary for their accounting and declarations.

For B2C sales in the European Union outside France, the VAT treatment may depend on the applicable threshold, the customer's country, the seller's status, the sales channel and the activation of the OSS one-stop shop. VAO Agency may change the tax configuration, in particular where the threshold of 10 000 € in cross-border EU B2C sales is exceeded or where an OSS option is activated.

The Teacher must inform VAO Agency of any change of status, address, country, VAT number or obligation that may affect taxes or invoices.

10. Content, rights and warranties

The Teacher remains the owner of their content and educational materials, subject to the rights of third parties. They grant VAO Agency a non-exclusive, worldwide, free licence for the duration necessary to operate the platform, allowing it to host, reproduce, encode, transcribe, technically adapt, display, distribute and make available the materials necessary to provide the services to Students.

The Teacher also grants VAO Agency a licence to use short excerpts, visuals, titles, name, biography, profile photo and promotional elements to promote the Teacher, their content, LESSUNS, the site, the application and the associated social networks. This licence is limited to the promotion of LESSUNS and the Teacher's offers, does not authorise the separate resale of the excerpts and must not distort the content. The Teacher may request the cessation of certain future uses, subject to campaigns already published and reasonable archives.

The Teacher warrants that they hold all the necessary authorisations concerning the videos, choreographies, music, images, voices, locations, trademarks, participants, any minors represented and third-party rights. The use of commercial music, protected excerpts or third-party works is carried out under the sole responsibility of the Teacher.

11. Quality, safety and content rules

Content must not be unlawful, infringing, discriminatory, violent, sexual, dangerous, misleading or contrary to the platform's rules.

Dance or physical activity content must be presented responsibly, without any promise of result and without medical advice or diagnosis. The Teacher must invite Students to practise according to their abilities, in a safe space, and to stop the exercise in the event of pain or difficulty.

VAO Agency may refuse, unpublish, restrict or suspend content in the event of legal, technical, safety, moderation or quality risk.

12. Messages, groups and interactions with Students

The Teacher may communicate with Students via private messaging, groups, responses to reviews, live sessions and video feedback. For guided online workshops, access to messaging is opened automatically to the Student who has purchased the workshop, within the functional and time limits provided for by the offer. These exchanges must remain respectful, professional, fair and compliant with the platform's rules.

VAO Agency does not routinely read private messages, but may access exchanges and content in the event of support, security, reporting, moderation, fraud, dispute or a legal obligation.

13. Reviews

Only Students who have purchased or are subscribed to the content or the Teacher concerned may publish a review. The Teacher may respond publicly to a review within the technical limit provided. VAO Agency does not modify the content of reviews, but may remove an abusive, false, unlawful, insulting, discriminatory, off-topic review or one contrary to the platform's rules.

14. Refunds and withdrawal

The Teacher accepts that refunds may be granted in the event of a technical problem preventing access to the material or essential features, absence of the announced support after reasonable reminders, legal obligation, an Apple decision, dispute, fraud or a goodwill gesture decided on a case-by-case basis. Refunds reduce or cancel the share payable to the Teacher and may be charged against future revenue.

Digital content accessible immediately is subject to a mechanism of express consent and loss of the Student's right of withdrawal where the law permits. Dated in-person workshops may fall under a distinct regime.

15. Suspension, termination and withdrawal

VAO Agency may suspend or terminate the Teacher's access in the event of breach of these terms, non-payment, fraud, infringement of third-party rights, abusive behaviour, legal risk or a request from an authority. The Teacher may terminate their account according to the platform's terms. Deletion is scheduled with a 30-day period, save for retention necessary for the purposes of evidence, security, dispute, reporting, fraud or a legal obligation.

16. Liability

The Teacher is responsible for their content, their statements, their relationship with Students, their tax and social obligations, their in-person workshops and the rights necessary to exploit their content. VAO Agency is responsible for providing the platform within the limits provided by law, without guaranteeing income, an educational result, visibility or the absence of interruption.

17. International and restrictions

VAO Agency may restrict access to LESSUNS Pro, sales features, means of payment or payouts in certain countries where necessary to comply with tax, regulatory, banking, contractual, technical or compliance obligations.

18. Governing law

These terms are governed by French law, subject to the mandatory rules applicable to consumers or users located in other countries. Disputes will be submitted to the competent courts according to the applicable rules.
